Please read the terms and conditions of membership of Manchester Digital below before applying to become a member. You will need to accept these in order to become a member of Manchester Digital.
1. Introduction
1.1 Manchester Digital Limited (company no.: 4398806) is a not for profit organisation.
1.2 Manchester Digital maintains a website (the “Site”). By accessing the Site you agree to be bound by all the Terms and Conditions of use and the Privacy Policy (together the “Terms”).
1.3 If you do not accept all the Terms, you should not use the Site.
1.4 We may amend these Terms at any time without prior notice.
1.5 Your continued use of the Site means that you accept any amendments to the Terms.
2. Membership
2.1 You may register as a Member of Manchester Digital by completing and submitting the online registration form and paying the applicable fee.
2.2 If you register as an organisation or as a sole trader then your business details will be added to the Manchester Digital online Directory (“the Directory”). You may register additional user names for employees of your orgabisation who will then be able to log in to the site.
2.3 You may pay the first year's membership fee on-line at the time of registration by credit or debit card, or you can choose to receive an invoice, in which case you must pay your membership fees within 14 days of receiving the invoice. You can do this by sending a cheque to Manchester Digital, 117-119 Portland Street, Manchester M1 6ED or by making an electronic funds transfer to the bank account shown on the invoice. If you fail to pay your membership fees within 14 days, Manchester Digital reserves the right to suspend your membership and remove your details from the Directory.
2.4 Membership is not transferable and a Member shall cease to be a Member:
2.4.1 in the case of an individual, on death, on becoming of unsound mind, on becoming bankrupt or any analogous arrangement;
2.4.2 if by written notice the Member resigns. The Member is deemed to have resigned when notice is received by email to accounts@manchesterdigital.com or by post at the Registered Office, Manchester Digital, 117-119 Portland Street, Manchester M1 6ED.
2.4.3 if a corporate Member
2.4.3.1 being an unincorporated body is dissolved;
2.4.3.2 being an incorporated body is wound up, enters into receivership or liquidation or any analogous arrangement;
2.4.4 by unanimous vote of the Council of Manchester Digital after giving the Member at least 14 days’ notice in writing.
2.5 All Members are entitled to attend and speak at General Meetings of Manchester Digital.
2.6 All Members agree to be bound by the Manchester Digital Code of Practice currently in force.
3. Sponsors
3.1 The Site is supported by sponsoring organisations and advertisers (the “Sponsors”) whose names appear on the Site and whose own sites can be accessed by hypertext links from this Site. When you activate any of these links, you will leave the Site and Manchester Digital accepts no responsibility for the availability or content of any Sponsors’ linked websites.
4. Our Content
4.1 Except as expressly provided in these Terms, all rights in the material on the Site including any newsletters (together the “Content”), including copyright, trademarks, service marks and database rights, are either owned by or licensed to Manchester Digital or its Sponsors or otherwise used by Manchester Digital or its Sponsors as permitted by applicable law.
4.2 Our Content is intended for individual, personal use only. Accordingly, you may print and download extracts from this Site for your own personal, non-commercial use, provided that any material copied remains intact and includes the following notice: “Copyright © 2001-2012 Manchester Digital. All rights reserved.” Any other copying, distribution, storing, framing or transmission of any kind or any sort of commercial use of our Content is strictly prohibited without our express consent.
5. Your Content
5.1 The Site may contain message boards or other interactive areas (the “Interactive Areas”) Manchester Digital does not control or own the information that users post on our Interactive Areas. However, you agree to grant Manchester Digital an unlimited, royalty free licence to republish or otherwise use anything that you post on the Site.
5.2 You are responsible for the content of the material that you post. You agree to use the Site for lawful purposes only. In particular, you warrant that you shall not:
5.2.1 post or transmit any material that you do not have a right to transmit under law (for example, but not limited to, copyright);
5.2.2 post, transmit or link to any information that is obtained in breach of confidence;
5.2.3 post, transmit or link to any content that is obscene, defamatory, threatening, degrading or which discloses private or personal matters concerning any person;
5.2.4 post, transmit or link to sexually explicit material;
5.2.5 impersonate any person, or entity or misrepresent your affiliation with anyone or entity;
5.2.6 collect or store other users’ personal data;
5.2.7 Prevent or restrict the use of the Site by other users or Members;
5.2.8 intentionally violate any other applicable law or regulation while accessing and using the Site;
5.3 Whilst Manchester Digital cannot review all transmissions by Members we reserve the right at our sole discretion and without prior notice to review, remove or otherwise block any material that you post, transmit or link to for violating the above provisions.
6. Linking
6.1 You are permitted and encouraged to create a link from your website to the homepage of the Site, provided that you do not link to the Site from any site containing obscene, defamatory, threatening or degrading material or material that infringes the intellectual property or other rights of any third party or which is otherwise unlawful.
6.2 Manchester Digital reserves the right to employ such necessary measures to remove linking or Framing to this Site.
7. Competitions and Prizes
7.1 Manchester Digital may run competitions, prize draws and promotions on the Site that will be subject to additional terms and conditions applicable to each individual instance and which will be made available at the time of such competitions.
8. Disclaimer of Warranties and Liability
8.1 Whilst we try to make sure that the Content of the Site is accurate, Manchester Digital does not warrant the accuracy, currency or reliability of the Content.
8.2 Manchester Digital does not guarantee that the Content will be technically suitable for viewing on your computer.
8.3 Manchester Digital does not warrant that the Site will be delivered to you uninterrupted, timely, secure or error-free, or that the Site and the server are free or computer viruses or other harmful applications.
8.4 You understand and acknowledge that information posted or transmitted by users are the sole responsibility of the person from which the material originated. Manchester Digital accepts no responsibility for the accuracy, completeness, or even the truth of any information posted in our interactive areas by our users.
8.5 Any hypertext linked websites (including Sponsors’ websites) are maintained by individuals or entities over which Manchester Digital has no control. When you activate any of these links, you will leave the Site and Manchester Digital accepts no responsibility for the availability or content of any linked websites and shall not be responsible in any way for arrangements regarding goods or services from such linked websites. The links are provided for your convenience and any such link does not imply endorsement by Manchester Digital of a website or any association with the operators of a website.
8.6 Should you use the Site to purchase products or services from our Sponsors any contracts will be exclusively between you and the relevant Sponsor. Manchester Digital shall not be responsible for any costs, claims, damages and liability arising from these, even if the contract was entered into through the Site.
8.7 Except in the case of death or personal injury caused by the negligence of Manchester Digital, neither Manchester Digital, nor any of its directors, employees or representatives will be liable to you or to any third party for damages of any kind arising out of or in connection with the use of this Site.
8.8 The Site contains general information only and not professional advice of any kind. Manchester Digital cannot accept any liability to you for any action you decide to take, or refrain from taking, as a result of information obtained from our Site. Manchester Digital recommends that for specific professional advice you obtain advice from a suitable qualified professional in the area of your enquiry.
9. Indemnities
9.1 You agree to indemnify Manchester Digital against all legal fees, damages and other expenses that may be incurred by Manchester Digital as a result of your breach of any of these Terms.
10. Privacy
10.1 Once you have registered as a Member of Manchester Digital, your business details will be entered into the Directory. When completing the online registration form, you will be asked to provide your name and company details including e-mail address, fax number and number of employees. You will also be asked to select a business sector that best describes your business and the option to provide details of your company’s profile.
10.2 The Site complies with the relevant English Data Protection laws. Any personal details that we collect will be dealt with in accordance with the Data Protection Act 1998.
10.3 Unless required by law or any regulatory authority or in order to protect the rights and property of Manchester Digital, Manchester Digital will not sell or transfer your personal data to and third party without your consent.
10.4 Manchester Digital reserves the right to store and use members’ personal data solely for our own internal purposes.
10.5 You may edit your Directory details at any time by logging on to the site using your user name and password and using the profile edit section.
11. Access outside UK
11.1 Manchester Digital does not represent that the Content or the Site shall be appropriate or available for use outside the United Kingdom. If you access the Site from outside the United Kingdom, it is your responsibility to ensure compliance with any foreign and local laws and requirements.
12. Severability
12.1 If any provision in these Terms is invalid or unenforceable, the remaining provisions will continue in full force and effect.
13. Applicable Law and Dispute Resolution
13.1 These Terms are be governed by and construed in accordance with English law and shall be subject to the exclusive jurisdiction of the English courts.
13.2 If any dispute arises out of these Terms or the use of this Site the parties will attempt to settle it by negotiation. If the dispute has not been settled after 21 days the parties will attempt to settle it by mediation in accordance with the Centre for Dispute Resolution (CEDR) Model Mediation Procedure.
